The terms “user”, “you”, or equivalent terms refer to any person who accesses, registers for, purchases, subscribes to, or uses the website, platform, or any of its services.

Access to or use of VSTProp implies acceptance of these Terms and Conditions.

If the user does not agree with them, they must refrain from using VSTProp and its services.

2. PURPOSE OF VSTPROP

VSTProp is a technology platform designed for traders that provides software, tools, and resources related to the analysis, monitoring, automation, and management of trading activity.

Depending on the plan, product, or service purchased, VSTProp may offer, among other features:

• Trading journal.

• Trading statistics and analysis.

• Risk management tools.

• Calculators and resources for traders.

• Indicators.

• Bots and automated strategies.

• Trade replication or copying.

• Monitoring and automation tools.

• Trading Room.

• VST Arena.

• Rankings and competitions.

• Technology resources related to trading.

• Other features that may be introduced in the future.

Available features may vary depending on the plan, license, product, device, trading platform, or service purchased.

VSTProp provides technology and tools for traders.

VSTProp is not a broker, financial institution, investment manager, or financial advisor and does not manage third-party capital.

3. ACCESS AND REGISTRATION

Certain areas of VSTProp may be accessible without registration.

Other features require the creation of an account, an active subscription, a license, or the purchase of a specific product.

The user agrees to provide accurate, current, and truthful information during the registration process.

Each account is intended for use by its account holder, unless VSTProp expressly states otherwise for a particular product or service.

The user is responsible for maintaining the confidentiality of:

• Their password.

• Their credentials.

• Their access codes or keys.

• Their licenses.

• Any other authentication mechanism associated with their account.

It is not permitted to share an account, license, or credentials with third parties when the purchased product is intended for individual use.

The user will be responsible for activity carried out through their account when such activity results from the use of their credentials, except where applicable law provides otherwise.

The user must notify VSTProp of any unauthorized access of which they become aware.

4. USER ELIGIBILITY

VSTProp services are intended for persons over 18 years of age or who have reached the legal age of majority required in their jurisdiction to enter into contracts and use the relevant services.

By creating an account, purchasing a subscription, or using VSTProp services, the user represents that they have sufficient legal capacity to accept these Terms.

If the laws of the user’s jurisdiction establish a higher age requirement or additional requirements for the use of certain services, the user is responsible for complying with such requirements.

VSTProp may restrict access to certain products, territories, or users where necessary for legal, regulatory, contractual, technological, security, or third-party provider-related reasons.

5. PLANS, PRODUCTS, AND SERVICES

VSTProp may offer both free and paid services.

Paid services may be offered through:

• Monthly subscriptions.

• Annual subscriptions.

• Licenses.

• One-time payments.

• Promotions.

• Trial periods.

• Other commercial models indicated at the time of purchase.

The features, tools, and limits included in each plan will be those indicated by VSTProp at the time of purchase.

VSTProp may modify its plans, prices, features, or commercial structure in the future.

Any modification affecting an existing subscription will be managed in accordance with the conditions communicated to the user and applicable law.

The purchase of a particular plan does not grant permanent access to all current or future VSTProp features unless expressly stated otherwise.

6. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Where a product is offered on a subscription basis, the subscription may automatically renew for successive periods according to the option selected by the user during the purchase process.

Before making a purchase, the user will be able to review the price, billing period, and main features of the subscription.

By purchasing a subscription with automatic renewal, the user authorizes the corresponding charge for each renewal period until the subscription is cancelled.

The user may cancel the renewal of their subscription using the mechanisms available in their account or by contacting support where applicable.

Cancellation prevents future renewals but will normally not immediately terminate access for a period that has already been paid.

Unless otherwise stated, after cancelling a subscription the user may continue to use the purchased features until the end of the current billing period.

7. PRICES AND PAYMENTS

Applicable prices will be those displayed during the purchase process.

Depending on the user’s location, product, and applicable regulations, certain taxes, fees, or other charges may be added to the displayed price where applicable.

Payments may be processed through specialized third-party providers.

VSTProp does not necessarily control all internal processes, authorization systems, or security measures applied by those providers.

The user agrees to use only payment methods that they are legally authorized to use.

If a payment is rejected, reversed, disputed, cancelled, or cannot be processed correctly, VSTProp may temporarily suspend access to the corresponding product or service until the situation is resolved.

8. CANCELLATIONS AND REFUNDS

The user may cancel a subscription to prevent future renewals.

Cancelling a subscription does not automatically result in a refund of amounts relating to periods that have already been billed or services that have already been activated or provided.

Unless applicable law provides otherwise or VSTProp expressly states different conditions for a particular product, payments are final and non-refundable once access to the corresponding digital service has been provided or activated.

Failure to use the service during the purchased period does not, by itself, create a right to a refund.

Refunds will also not automatically be granted for:

• Failure to use the service.

• Cancellation before the end of the purchased period.

• Incorrectly selecting a plan where the purchased service has been properly provided.

• Not having the external hardware or software required to use a particular tool where those requirements were previously disclosed.

• Failure to use the available features during the purchased period.

• Changing one’s mind after the service has been activated or provided, where the applicable right of withdrawal may lawfully be excluded.

Nothing in this policy is intended to exclude any refund, withdrawal, warranty, or consumer protection rights that cannot lawfully be excluded in the applicable jurisdiction.

Where a mandatory right to a refund exists under applicable law, VSTProp will act in accordance with such law.

9. SOFTWARE LICENSE

Purchasing a VSTProp product or subscription does not constitute a sale or transfer of ownership of the software.

Unless expressly stated otherwise, VSTProp grants the user a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable license to use the software and tools included in the purchased product for the period during which the user is entitled to access them.

The license only permits use of the software in accordance with:

• These Terms.

• The purchased plan.

• Established technical limitations.

• The relevant documentation.

• Any specific conditions applicable to particular products.

Termination of the subscription or license may result in loss of access to the corresponding features.

10. INTELLECTUAL AND INDUSTRIAL PROPERTY

All content, software, and elements forming part of VSTProp are protected by intellectual property, industrial property, and other applicable laws.

This includes, among other things:

• VSTProp trademark.

• Logos.

• Designs.

• Interfaces.

• Texts.

• Images.

• Graphics.

• Software.

• Code.

• Indicators.

• Bots.

• Algorithms.

• Automated strategies.

• Trade copiers.

• Risk management systems.

• Tools.

• Databases.

• Documentation.

• Audiovisual material.

• Downloadable resources.

• Technological architecture.

These elements are owned by Horux Media FZCO or are used under the relevant authorizations or licenses.

Purchasing a service only grants the user the corresponding right of use.

No intellectual or industrial property rights are transferred to the user.

11. PROHIBITED USES

Unless prior written authorization has been granted by VSTProp, it is prohibited to:

• Copy or reproduce the software.

• Distribute it.

• Resell it.

• Sublicense it.

• Share individual-use licenses.

• Provide unauthorized access to third parties.

• Extract or reuse source code.

• Reverse engineer, decompile, or attempt to obtain source code, except where a legal right exists that cannot be excluded.

• Circumvent licensing, authentication, or security systems.

• Modify or create unauthorized versions of the software.

• Systematically extract data from the platform.

• Use bots, scripts, or systems intended to interfere with VSTProp.

• Attempt to access the accounts or systems of other users.

• Use VSTProp for illegal activities.

• Distribute malware or malicious code.

• Use VSTProp infrastructure in a way that may harm its operation.

• Use VSTProp trademarks, designs, or content without authorization where such authorization is required.

• Commercialize, rent, or redistribute VSTProp products without authorization.

VSTProp may apply technical measures designed to detect fraudulent use, license abuse, unauthorized access, or violations of these Terms.

12. INDICATORS, BOTS, AUTOMATION, AND TRADE REPLICATION

Certain VSTProp products allow users to use indicators, bots, automated strategies, trade replication tools, or other systems related to trading.

These tools are technological software.

Their use does not constitute financial advice, investment management, or discretionary capital management.

The user retains control and responsibility over:

• The accounts used.

• The instruments traded.

• The settings.

• Position sizes.

• Risk levels.

• Activation or deactivation of systems.

• Strategies used.

• Trading decisions.

The use of automated systems may involve additional risks arising from configuration errors, latency, disconnections, order execution, slippage, rejected orders, differences between accounts, failures of external platforms, or extraordinary market conditions.

No bot, indicator, algorithm, trade copier, or system provided by VSTProp guarantees profits or prevents losses.

13. TRADING RISKS

Trading financial instruments involves the risk of loss.

Historical results, statistics, metrics, rankings, bot results, indicators, strategies, traders, or automated systems do not guarantee future results.

The user is responsible for determining whether the use of certain tools is appropriate for their experience, knowledge, and risk tolerance.

VSTProp provides technological tools and does not assume responsibility for trading decisions made by users, except where such liability cannot lawfully be excluded.

14. THIRD-PARTY PLATFORMS AND SERVICES

Certain VSTProp tools may depend on or interact with software and services provided by third parties.

These may include:

• Trading platforms.

• Brokers.

• Data providers.

• APIs.

• Cloud services.

• Infrastructure providers.

• Payment processors.

• Authentication services.

• Other technological services.

VSTProp does not fully control these external services.

The availability of certain features may be affected by:

• Updates.

• API changes.

• Interruptions.

• Failures.

• Incompatibilities.

• Changes made by third parties.

• Changes to their policies.

• Connectivity issues.

• Decisions made by the respective providers.

VSTProp will make reasonable efforts to maintain compatibility of its tools but cannot guarantee the permanent operation of services that depend on third-party infrastructure.

15. SERVICE AVAILABILITY

VSTProp seeks to keep its services available and operational.

However, it does not guarantee 100% uninterrupted availability.

Access may be temporarily affected by:

• Maintenance.

• Updates.

• Improvements.

• Technical issues.

• Infrastructure failures.

• Third-party provider incidents.

• Security situations.

• Force majeure.

• Circumstances outside VSTProp’s reasonable control.

Whenever reasonably possible, VSTProp will seek to reduce the impact of such interruptions.

16. SOFTWARE UPDATES AND MODIFICATIONS

VSTProp may update, correct, improve, modify, or replace certain features of its software.

These modifications may be necessary to:

• Improve security.

• Correct errors.

• Maintain compatibility with third parties.

• Improve performance.

• Introduce new features.

• Remove obsolete features.

• Comply with legal requirements.

• Adapt to technological changes.

The availability of certain features may change over time.

VSTProp will seek to avoid changes that unjustifiably impair essential features of purchased services during their active period, without prejudice to changes required for technical, legal, regulatory, security, or third-party-related reasons.

17. ACCOUNT SUSPENSION OR TERMINATION

VSTProp may suspend or restrict an account where there are reasonable grounds to believe that any of the following is occurring:

• Fraud.

• License abuse.

• Unauthorized account sharing.

• Illegal use.

• System manipulation.

• Attempts to circumvent security mechanisms.

• Fraudulent chargebacks.

• Unauthorized access.

• Serious violations of these Terms.

• Conduct that may harm VSTProp, its users, or its providers.

In serious cases, VSTProp may permanently terminate access.

Where reasonably possible and appropriate, VSTProp may provide the user with an opportunity to clarify or remedy the situation.

Suspension or termination resulting from a serious breach by the user will not automatically create a right to a refund, without prejudice to rights that cannot lawfully be excluded.

18. LIMITATION OF LIABILITY

VSTProp provides its services and tools while applying reasonable measures intended to ensure their operation.

However, no software can guarantee completely uninterrupted or error-free operation.

To the maximum extent permitted by applicable law, Horux Media FZCO will not be liable for indirect, incidental, special, or consequential losses arising from:

• Use of or inability to use VSTProp.

• Trading decisions.

• Financial losses arising from trades.

• Configuration errors made by the user.

• Interruptions to external platforms.

• Issues with brokers or data providers.

• Connection failures.

• Latency.

• Slippage.

• Rejected or delayed orders.

• Loss of information caused by external services.

• Failures outside VSTProp’s reasonable control.

Nothing in these Terms will exclude or limit any liability that cannot lawfully be excluded or limited.

19. USER RESPONSIBILITIES

The user is responsible for:

• Using VSTProp correctly.

• Properly configuring the tools.

• Keeping their credentials secure.

• Verifying executed trades.

• Monitoring automated systems.

• Ensuring they have suitable connections and platforms.

• Maintaining backups where necessary.

• Complying with the rules of their brokers, platforms, or providers.

• Complying with applicable law.

The user must not assume that an automated system can operate indefinitely without supervision.

Where a tool can send, copy, modify, or manage trading orders, the user should periodically verify that it is operating correctly.

20. AFFILIATE PROGRAM

VSTProp may operate an Affiliate Program through which certain users, creators, partners, or collaborators may promote VSTProp products or services in exchange for a commission.

Participation in the Program is subject to approval by VSTProp.

VSTProp may approve or reject affiliate applications according to its internal criteria and the needs of the Program.

Acceptance into the Program does not establish an employment, partnership, agency, legal representation, or joint venture relationship between VSTProp and the affiliate.

The affiliate acts as an independent collaborator.

21. AFFILIATE COMMISSIONS

The financial terms of the Affiliate Program may establish:

• Commission percentage.

• Attribution period.

• Tracking cookie.

• Minimum withdrawal amount.

• Payment methods.

• Validation periods.

• Payment frequency.

• Affiliate levels or categories.

• Bonuses or other conditions.

The applicable conditions will be those communicated to the affiliate within the Program.

Only transactions properly recorded, attributed, and validated by VSTProp systems may generate commissions.

Transactions will not generate commissions, or commissions may subsequently be deducted, where transactions are:

• Refunded.

• Cancelled.

• Reversed.

• Fraudulent.

• Subject to chargeback.

• Made through self-referral where such practice is prohibited.

• In violation of the Program conditions.

VSTProp may apply reasonable validation periods before considering a commission finally approved.

22. PROHIBITED AFFILIATE PRACTICES

Affiliates may not:

• Make false or misleading claims about VSTProp.

• Guarantee financial results.

• Present VSTProp as a financial advisor, broker, or investment manager.

• Use spam.

• Use misleading advertising.

• Engage in self-referrals where prohibited.

• Generate fraudulent transactions.

• Manipulate affiliate cookies.

• Engage in cookie stuffing.

• Generate artificial clicks or conversions.

• Use VSTProp trademarks in a manner likely to cause confusion.

• Impersonate VSTProp.

• Present themselves as an official representative without authorization.

• Promote unauthorized discount codes.

• Publish non-existent offers.

• Use practices intended to claim attribution for sales not legitimately generated by the affiliate.

• Promote VSTProp through content or media that carries out or encourages illegal activities.

The affiliate must disclose their commercial relationship with VSTProp where such disclosure is required by applicable advertising laws or regulations.

23. AFFILIATE COUPONS AND DISCOUNTS

Affiliates may only promote codes, discounts, or offers authorized by VSTProp.

They may not advertise non-existent, expired, or unassigned codes for the purpose of attracting traffic.

They may also not use misleading messages that cause users to believe a discount exists when it does not.

Affiliate cookies may not be installed without a legitimate action or interaction by the user where such practice is contrary to applicable law or Program rules.

24. AFFILIATE PPC ADVERTISING

Paid advertising campaigns using VSTProp trademarks, trade names, or protected terms may be restricted.

Unless expressly authorized, affiliates may not bid directly on brand terms such as:

• VSTProp.

• VST Prop.

• Variations intended to imitate the brand.

• Domains or names that may create confusion with VSTProp.

VSTProp may establish additional advertising rules for its affiliates.

25. SUSPENSION OF THE AFFILIATE PROGRAM

VSTProp may suspend or terminate an affiliate account where there are reasonable indications of:

• Fraud.

• Manipulation.

• Spam.

• Misleading advertising.

• Intellectual property infringement.

• Misuse of coupons.

• Prohibited self-referrals.

• Manipulation of attribution systems.

• Violation of these Terms.

• Conduct that may harm the reputation or operation of VSTProp.

Commissions associated with fraudulent, cancelled, refunded, reversed, or otherwise non-compliant transactions may be voided.

26. AFFILIATE RESPONSIBILITY

Each affiliate is responsible for their own promotional activities, content, publications, advertisements, and statements.

The affiliate agrees not to make claims that have not been authorized by VSTProp and to comply with applicable advertising, commercial, and consumer protection laws.

To the extent permitted by applicable law, the affiliate will be responsible for damages, claims, costs, or losses arising directly from their own illegal, misleading, or unauthorized conduct.

27. THIRD-PARTY LINKS AND SERVICES

VSTProp may include links to external websites, products, platforms, or services.

The existence of a link does not necessarily mean that VSTProp controls, recommends, or guarantees such service.

Where the user contracts directly with a third party, the corresponding contractual relationship will be established between the user and the relevant provider unless expressly stated otherwise.

VSTProp will not be responsible for the terms, policies, availability, or operation of external services outside its reasonable control.

28. PRIVACY AND COOKIES

The processing of personal data and use of cookies are governed by the VSTProp Privacy and Cookies Policy.

By using VSTProp, the user acknowledges that they have had the opportunity to review that policy.

The use of cookies requiring consent will be subject to the preferences expressed by the user through the available consent mechanisms and applicable law.

29. CHANGES TO THE TERMS

Horux Media FZCO may update these Terms and Conditions to reflect changes relating to:

• Services.

• Platform.

• Plans.

• Technology.

• External providers.

• Security.

• Legislation.

• Regulatory requirements.

• Affiliate Program.

The current version will be the version published on vstprop.com.

Where a change is material and applicable law requires it, VSTProp may notify the user through the website, email, platform, or another reasonable method.

Continued use of the services after the changes take effect will constitute acceptance of the updated terms where legally valid.

30. GOVERNING LAW AND JURISDICTION

VSTProp is owned and operated by Horux Media FZCO, with its registered address at:

These Terms and the contractual relationship between the user and Horux Media FZCO will be governed by the laws applicable in the United Arab Emirates and, where applicable, the Emirate of Dubai.

The above applies without prejudice to any mandatory consumer protection laws or other rights that may apply to the user based on their jurisdiction and which cannot lawfully be excluded by contract.

Where legally applicable, any dispute relating to VSTProp or these Terms will be submitted to the competent courts of Dubai, United Arab Emirates, without prejudice to any jurisdictional rights of the user that cannot validly be excluded.

31. SEVERABILITY

If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent authority, that provision will be interpreted or limited to the extent necessary to make it valid where possible.

The invalidity of one provision will not affect the validity of the remaining provisions of these Terms.

32. NO WAIVER

The fact that VSTProp does not immediately exercise a right recognized under these Terms does not constitute a waiver of that right.

Any waiver must be interpreted narrowly and only in relation to the specific situation in which it was made.

33. ENTIRE AGREEMENT

These Terms and Conditions, together with the policies and conditions expressly incorporated into or referenced by them, constitute the contractual framework applicable to the use of VSTProp.

Such policies may include:

• Privacy and Cookies Policy.

• Legal and Risk Notice.

• Specific terms applicable to certain products or licenses.

• Specific Affiliate Program terms where applicable.

34. ELECTRONIC ACCEPTANCE

Acceptance of these Terms through a checkbox, registration, purchase, subscription, or other valid electronic mechanism may constitute electronic acceptance of the agreement.

By completing the relevant process, the user declares that they have had the opportunity to read and understand the applicable conditions before entering into the agreement.

Where legally applicable, such electronic acceptance will have the effects recognized under applicable law.
